These Terms & Conditions (“Terms”) govern all relationships, collaborations, and services provided by RPH Music (“RPH Music”, “we”, “our”, or “us”) through the website https://rphmusic.id (“Website”), including but not limited to artist agreements, digital music distribution, royalty management, audio & video production, and promotional activities.
By accessing the Website or entering into any collaboration with RPH Music, you (“Artist”, “Creator”, or “User”) agree to be legally bound by these Terms.
1. Scope of Services
RPH Music operates as a music label and creative house providing the following services:
Artist development and collaboration
Digital music distribution to national and international platforms
Royalty administration and reporting
Audio and video production services
Creative direction and promotional material production
Specific terms related to each service may be governed by separate written agreements.
2. Artist Agreement & Collaboration
Any collaboration between RPH Music and an Artist shall be subject to a written agreement outlining rights, obligations, revenue sharing, duration, and scope of work.
Unless explicitly stated otherwise:
No exclusive relationship is implied
No ownership transfer occurs beyond what is contractually agreed
3. Intellectual Property Rights
3.1 Artist-Owned Works
Artists retain ownership of their original compositions, lyrics, recordings, and performances unless otherwise stated in a written agreement.
3.2 License to RPH Music
By entering into collaboration, the Artist grants RPH Music a non-exclusive or exclusive license (as specified in the agreement) to:
Distribute musical works digitally
Reproduce, promote, and monetize the works
Use artist name, likeness, and branding for promotional purposes
4. Digital Music Distribution
RPH Music may distribute musical works to third-party digital platforms, including but not limited to streaming and download services.
Artists acknowledge that:
Platform availability and revenue depend on third-party providers
RPH Music is not responsible for platform policy changes or outages
5. Royalties & Revenue Sharing
5.1 Royalty Calculation
Royalty shares shall be calculated based on net revenue received from digital platforms after deductions imposed by third parties.
5.2 Payment
Royalty payments shall be made according to the schedule and method outlined in the respective agreement.
5.3 Reporting
RPH Music shall provide royalty reports periodically, subject to data availability from distribution platforms.
6. Audio & Video Production
RPH Music may provide audio recording, mixing, mastering, video production, and post-production services.
Unless otherwise agreed:
Production outputs are jointly managed for commercial use
RPH Music may showcase produced works for portfolio and promotional purposes
7. Promotional Materials & Marketing
RPH Music may create and distribute promotional materials, including but not limited to:
Visual artwork
Video teasers and trailers
Social media and digital campaigns
Artists grant permission for the use of their name, image, voice, and likeness solely for promotional and marketing purposes related to the collaboration.
8. Artist Representations & Warranties
The Artist represents and warrants that:
Submitted works are original or legally owned
No infringement of third-party rights exists
All necessary permissions have been obtained
The Artist agrees to indemnify RPH Music from any claims arising from rights violations.
9. Termination
RPH Music reserves the right to suspend or terminate collaborations if:
Terms are violated
Legal disputes arise regarding ownership
The collaboration harms RPH Music’s reputation
Termination effects shall follow the provisions stated in the relevant agreement.
10. Limitation of Liability
To the fullest extent permitted by law, RPH Music shall not be liable for indirect, incidental, or consequential damages, including loss of revenue, reputation, or digital platform access.
11. Confidentiality
All non-public business, financial, and creative information exchanged during collaboration shall remain confidential unless disclosure is legally required.
12. Amendments
RPH Music reserves the right to modify these Terms at any time. Updates will be effective upon publication on the Website.
13. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Indonesia.
